The Course aims at giving an insight into the core aspects of Corporate Law, both in a domestic and international perspective, particularly focusing on its intersections with new technologies and the current digitalization process.
The Course will address Company Law topics (namely, forms of organizations, limited liability, formation of the company, share capital, corporate governance, financing), offering a reasoned illustration of the harmonization process initiated by the European Union and the dynamics and business implications of the digital transformation.
The Course will focus on the foundational legal concepts of Business and Company Law, analyzing the recent legal developments triggered by new technologies and the impact of innovation on Corporate Law and regulation.
This Course is divided into two modules. The first one mainly focuses on Business and Corporate Law. The second one mainly focuses on the extent to which advances in technology could or should be accommodated within the existing legal and regulatory framework.
The Course aims at:
- introducing students to the various legal forms of the business organizations and their main features;
- studying the main issues of the corporate form in a European Union regulatory perspective, taking into account some of the European jurisdictions and providing a brief comparison with the Anglo-American jurisdictions;
- providing students with an understanding of business law issues in a global and digital setting.
To this end, the Course proposes to develop the following skills and knowledge focusing on the following particular objectives:
KNOWLEDGE AND ABILITY TO UNDERSTAND
At the end of the Course students will be able to:
assess, describe and debate legal issues with reference to asset separation in companies and to corporate governance, corporate finance, shareholders rights, impact of digital innovation on corporate law and regulation.
ABILITY TO APPLY KNOWLEDGE AND UNDERSTANDING
At the end of the Course students will be able to:
- search for, understand, construe the international sources of law on, and the domestic regulation of, companies;
- understand and interpret digital transformation and its impact on corporate law.
AUTONOMY OF JUDGMENT
At the end of the Course students will be able to:
- identify and assess the interests protected and enforced by certain domestic company law in the EU framework with reference to stockholders and stakeholders;
- evaluate how technological innovations can trigger changes in company law regulation.
COMMUNICATION SKILLS
The resulting multidisciplinary communication skills are the main result of teaching. Students will be able to express in an oral form analytical, critical and summary considerations on the main aspects concerning Corporate Law and digital transformation processes.
